Terms & Conditions

All quotations are subject to the following Terms & Conditions:

1-PRICES:

This quotation remains in effect for thirty days only.  These prices are based on continuous production of castings in minimum quantities stated.  We reserve the right to increase prices if schedule requirements do not permit such production.  Orders calling for deliveries after six months from date of order will be invoiced at prices current at time of shipment.  These prices do not include the usual local, state or federal taxes.

2-DELIVERY:

Due to the nature of our manufacturing processes, we assume no liability for any loss or damage arising from delay in delivery or any other default due to acts or regulations of any government, to manufacturing, or unforeseen contingencies, or unavoidable occurrences at our plant or elsewhere which are not entirely within our control.  All shipping costs are the responsibility of the customer, including any additional insurance it deems necessary.  Any costs related to lost or damaged goods during transit will be the sole responsibility of the customer.

3-QUANTITY

All quotations are based on buyer accepting ± 10% on each individual item, such variations in yields being incidental to the process.

4-SAMPLES

Samples from new dies will be submitted for approval before proceeding with production.  Castings made in accordance with approved samples will be considered as complying with your specifications.  Production quantities prior to your sample approval are your responsibility.

5-CASTINGS

Castings will be furnished subject to commercial variations incidental to the investment casting process with a blast finish but without machining, testing or heat treatment unless otherwise agreed in writing.  Cosmetic weld repair to be permitted.

6-WARRANTY

We guarantee our castings according to specifications accepted by us and that they will be free from defects due to poor workmanship and defective material.  Defective castings will be replaced or credit allowed at our option, provided a claim is made within 30 days from the shipping date.  No claims for labor, for further processing costs, or service failures will be allowed.  Castings claimed defective are not to be returned to us marked, stamped, mutilated or further processed without our approval and an opportunity to inspect them.  Acceptance of returned goods by our Receiving Department shall not be binding and has no force or effect unless acceptance is made by us in writing.  The alloys specified in this proposal will be used and are approved by you unless otherwise instructed in writing.  This warranty is exclusive and no otherwarranties, expressed, implied, or implied by law, are made with respect to castings sold hereunder.

7-DIES-MOLDS-FIXTURES

Dies, molds and fixtures shall be paid for by the purchaser.  They will be charged to you and becomes your property, but will remain in our possession and control for your exclusive use.  Should it become necessary for you to remove any dies, molds and fixtures, they will be forwarded to you at your expense.  It is the purchaser’s responsibility to carry those forms of insurance coverage it deems necessary.  In the event of substantially larger quantities or higher monthly production rates, additional tooling may be required.  If we do not receive an order during any period of three consecutive years requiring the use of any die, mold or fixture, you hereby grant permission to us to destroy such die, mold or fixture after giving you 30 days prior written notice.  We will not be held liable in any way for such destruction.

8-PATENTS:

It is understood you will assume full responsibility and hold us free and harmless from all losses or claims for infringement of any patent rights arising from production of parts in accordance with the drawings, samples or designs furnished by you.

9-INTEREST:

For the dies, fixtures, designs and castings canceled or held-up, and invoice will be issued to cover the work accomplished up to the time of formal notification.  Invoices, which are delinquent beyond the period covered by our quotation, will carry an interest of 15% per annum on the entire unpaid balance.

10-ENGINEERING CHANGES AND CANCELLATIONS

We reserve the right to require payment for charges in the event of cancellation and engineering changes.  Engineering and design changes suggested by us are made in the best interest of all concerned, but the responsibility for their success lies entirely with the customer approving them.

11-BASIS OF AGREEMENT

This contract and the foregoing conditions shall be deemed to be made and construed under the laws of the State of New Jersey.  This proposal expresses the entire agreement between parties hereto, verbal or otherwise,and your acceptance constitutes a contract.  When your order contains printed or stamped provisions of our proposal, our proposal shall prevail.  Clerical errors are subject to correction.
